AGM sees co-founder voted chair after Lars Stugemo stood down in November while outgoing CEO Kristian Nylén becomes a director

Anders Ström has been appointed chairman of Kambi’s board, at the supplier’s 2024 AGM, with outgoing CEO Kristian Nylén named as a director.

In total, 14 resolutions were presented at the meeting with 12 being approved, including seeing the co-founder take his position as chair after being nominated in November.

The number of board members and their fees for the year were approved alongside the remuneration report for the year ending 31 December 2023.

Kambi co-founder Ström assumed the chairman role after Lars Stugemo informed the firm last November he did not want to seek re-election.

Ström has sat on Kambi’s board since co-founding the company with Nylén in 2010.

The incoming chairman was also re-elected as a director alongside Patrick Clase, Veralda chief investment officer, and Marlene Forsell, former Swedish Match CFO.

Meanwhile, Nylén, who announced his departure from the supplier at the start of the year, was appointed as a new director, along with Benjie Cherniak, ex-Don Best MD.

Mazars Malta were re-appointed as external auditors having first been selected back in 2015.

The board thanked both Stugemo and Cecilia de Leeuw, who is no longer a board member after joining in 2019, for their “dedicated service and contributions” to the company.

Two resolutions, m and n, will be discussed at an extraordinary general meeting to be held within 30 days of the 21 May AGM, having received one of the two majority votes needed to pass.

Both resolutions concern authorisation of the board to issue a dilution of 10% of Kambi’s total shares for “payment in kind or through a direct set-off in connection with an acquisition, and to authorise and empower the directors to restrict or withdraw the right of pre-emption associated to the issue of the said shares”.

Kambi recently announced its Q1 figures which showed EBITDA jumped 10% while revenue slipped 2%.
